Operator: UGC.run
Legal contact: contact@ugc.run
1. Agreement and scope
These Terms govern access to UGC.run’s websites, dashboards, mobile applications, APIs, command-line tools, Model Context Protocol services, integrations, and related features (the “Service”). “UGC.run,” “we,” and “us” mean the operator identified above. “You” means the person accepting these Terms and, where that person acts with authority for a business, that business.
A “Customer” is a business or individual operating a campaign or workspace. A “Creator” participates in a Customer’s campaign. “Customer Data” includes content, records, instructions, credentials, and information submitted to or processed through the Service for a Customer or Creator.
You accept these Terms through the acceptance mechanism presented when registering, subscribing, or otherwise being asked to agree. If you do not agree, do not use the Service. Anyone accepting on behalf of an organization represents that they have authority to bind it. An executed order form or separate written agreement controls an expressly identified conflict; an applicable data-processing agreement controls its subject matter. The Privacy Policy explains information practices and is not a blanket consent to optional data uses.
U.S. DISPUTE NOTICE: Section 16 provides for individual binding arbitration and a class-action waiver, with exceptions and a 30-day opt-out. Read it carefully. It does not displace mandatory rights or apply to disputes excluded by law.
2. Eligibility and account responsibilities
You must be at least 18 and legally able to enter this agreement. Do not register on someone else’s behalf without authority or provide false identity, campaign, or payment information. We may decline registrations and request information reasonably needed to confirm eligibility, authority, or account security.
Keep login credentials, recovery information, API keys, and integration secrets confidential. Use only accounts and permissions you are authorized to use. Notify us promptly of suspected unauthorized access. You are responsible for actions you authorize and for reasonable protection of your credentials; this does not excuse our own legal obligations or allocate to you losses caused solely by our breach.
A public profile check confirms information available from a provider. It does not establish that the person entering a handle owns or controls that account. Do not claim another person’s creator record or social accounts. Customers must verify identity and authority before approving access to an existing record.
3. Campaigns, administrators, and creator relationships
Customers determine campaign participation, approval, roles, assigned-creator visibility, content requirements, rates, qualifications, and permitted integrations. Authorized managers can view and change information within their permissions, approve or revoke mobile access, and associate an approved user with an existing creator record. This can give that user access to the record’s existing accounts, content, and history.
Customers may require particular social platforms and a creator checklist, or may waive the current checklist for an existing creator. Customers are responsible for making campaign expectations and privacy practices clear. Revisions to a checklist can require renewed completion. Account revocation, archiving, and checklist completion are separate from account deletion.
UGC.run provides software. Unless a separate agreement expressly states otherwise, we are not a party to Customer–Creator contracts, do not hire or employ Creators through these Terms, do not guarantee work or compensation, and do not act as an escrow agent, payment trustee, or payroll provider. Actual legal status depends on the relationship and applicable law, not these labels. Customers and Creators remain responsible for their contracts, payment obligations, advertising disclosures, taxes, worker classification, and rights in content.
4. Content ownership and operational permission
You retain rights you hold in Customer Data. Neither uploading content nor having it publicly available transfers ownership to UGC.run. You must have the rights and lawful authority necessary for the instructions you give us, including rights concerning identifiable people, music, images, trademarks, and third-party material.
You grant us a nonexclusive, worldwide, royalty-free license, with permission to use service providers acting for us, to host, copy, cache, transmit, display, format, analyze, and otherwise process Customer Data as reasonably necessary to provide, secure, support, maintain, and improve the Service as described in the Privacy Policy and any applicable data-processing agreement. This includes showing authorized campaign users content and metrics, generating records and analytics, serving media previews, and carrying out authorized downloads and cross-posting. The permission lasts while needed for those purposes and lawful retention, rather than creating an unrestricted permanent right to exploit identifiable content.
Public availability alone does not authorize reuse. A download feature does not grant advertising, reposting, likeness, music, or sublicensing rights. Obtain those rights separately before reusing a video. We do not receive rights you lack or override a platform’s or rights holder’s restrictions.
We may use feedback you voluntarily provide to develop the Service without compensation or attribution, but that permission does not authorize disclosure of personal information or confidential Customer Data. UGC.run’s software, brand, interface, and documentation remain ours or our licensors’. Your subscription grants access rights, not ownership of the Service.
5. Analytics, improvement, and AI-connected tools
We may evaluate usage, reliability, errors, feature adoption, abuse patterns, and operational performance to test, troubleshoot, and improve the Service. We may create and use aggregated or deidentified statistics and benchmarks where doing so is lawful, contractually permitted, and designed to prevent identification of individuals or disclosure of a Customer’s confidential results. We will not attempt to reidentify data maintained as deidentified except for permitted testing of the deidentification process.
These Terms do not authorize unrestricted sale of personal data, public disclosure of confidential campaigns, or training general-purpose AI models on identifiable Customer Data. A materially different use requires appropriate notice and any consent, authorization, or separate agreement required by law and existing commitments.
You may connect third-party agents, assistants, and applications through MCP, OAuth, API keys, or the CLI. Their requests can retrieve data or perform permitted changes, including actions with external effects. Review the client, scopes, project access, and permissions before authorizing it. Treat agent instructions as instructions issued through your account and supervise consequential actions. We do not promise that an agent’s output is accurate or that every tool action will ask you again for confirmation. The external provider’s practices govern data after it receives it; revoking access does not retrieve copies already delivered.
6. Integrations and automated actions
The Service relies on hosting, authentication, social-data, billing, and other providers. Examples include Supabase, Vercel, Stripe, ScrapeCreators, RevenueCat, Superwall, Meta, and PostBridge, depending on the features used. Third-party terms may apply independently. We do not control their availability, algorithms, authorization decisions, prices, data corrections, or policies.
By enabling cross-posting, you authorize the configured transfer and publication of content to the selected destinations, subject to the rights you hold. Check selected creators, platforms, schedules, and credentials carefully. Disabling an integration stops future use as the feature permits; it may not cancel an action already submitted or remove content already published. Remove published copies at the destination where necessary.
Do not submit third-party passwords where the Service requests an API key or handle. You must have authority to provide integration credentials. Disconnecting a credential in UGC.run and revoking it at its issuing provider are distinct controls.
7. Metrics and payment records
Views, downloads, trial starts, proceeds, profit estimates, posting counts, rankings, low-view flags, and calculated payments can be incomplete, delayed, estimated, revised, or unavailable. Historical views may be lifetime totals grouped by publication date rather than views earned on that date. Provider “new users” are an estimate used for downloads, not verified store-install totals. Install-cohort proceeds continue to change as customers convert and renew. Time zones, observation windows, missing history, provider adjustments, and campaign settings affect comparisons.
Validate material decisions against source records and the applicable Creator agreement. A “paid” status or payment ledger entry records information supplied or calculated in the Service; it does not itself prove money was transmitted. UGC.run does not guarantee financial returns, campaign performance, platform reach, Creator compensation, or payment collection.
Archiving a Creator, revoking mobile access, changing a rate, disqualifying a post, or terminating a subscription does not by itself extinguish earned compensation, third-party property rights, or other legally enforceable obligations. Resolve Customer–Creator payment disputes under the relevant agreement and applicable law.
8. Plans, subscriptions, and charges
Free and paid plans have the features and limits disclosed when selected. Paid subscriptions renew for the stated billing interval until canceled, if recurring billing was disclosed and authorized at checkout. You authorize the payment processor to charge the agreed fees and applicable taxes using the selected payment method. We do not obtain authorization for undisclosed charges merely by including this paragraph.
Use Billing & Usage → Manage subscription to access the subscription portal when available. Contact contact@ugc.run if you cannot access cancellation. Cancellation takes effect as stated in the billing portal or purchase terms, ordinarily at the end of the current paid period. Deleting the app, leaving a campaign, or deleting a project is not the subscription-cancellation mechanism. Customer support will assist with cancellation where a deleted project no longer provides access to the portal.
Except where required by law, an order form, or an express refund promise, fees for elapsed service periods and used capacity are nonrefundable. Promotional allocations have no cash value unless expressly stated; lawful expiry and termination conditions must be disclosed with the offer. These provisions do not permit confiscation of Creator earnings or third-party funds.
We may change prices, plan features, quotas, and promotions prospectively. For a material adverse change to an existing paid subscription, we will provide notice before it applies and an opportunity to cancel, and obtain further consent where required. If we terminate paid service without your breach before the paid term ends, we will refund prepaid fees attributable to the unused portion unless a lawful, separately negotiated business agreement provides otherwise.
We may restrict paid features after failed payment or when limits are exceeded. We may correct billing errors and work with the processor to resolve disputed charges. This does not waive statutory billing-dispute or chargeback rights. Customer payments to Creators are separate from fees paid to UGC.run.
9. Acceptable use
Do not use the Service to break laws; infringe intellectual property or privacy rights; impersonate others; harass, stalk, discriminate unlawfully, or conduct unauthorized surveillance; upload malware; obtain credentials deceptively; evade access restrictions or usage limits; manipulate metrics or payment records fraudulently; spam; or interfere with the Service or other users.
Do not use automation to perform actions you could not lawfully perform directly. Do not supply sensitive personal information, financial-account access credentials, government identifiers, health records, or children’s information that the Service does not request and is not designed to handle. Do not represent public-data retrieval as platform endorsement or consent from the people described by that data.
We may investigate suspected violations, request supporting information, restrict operations, remove or disable content, revoke credentials, and cooperate with lawful requests. We have no general obligation to monitor all content, but may do so for operational, security, and legal purposes consistent with the Privacy Policy.
10. Suspension, termination, and service changes
To the extent permitted by applicable law and any controlling written agreement, we may refuse service, suspend or terminate access, disable integrations, or discontinue all or part of the Service at our discretion, with or without cause. Where reasonably practicable, we will provide advance notice of termination without cause. We may act immediately and without advance notice for suspected abuse, security risk, unlawful conduct, infringement, nonpayment, provider requirements, urgent operational needs, or where notice is prohibited or would undermine an investigation.
On termination, your permission to use affected features ends; scheduled actions may be canceled; access to campaign records, integrations, or developer credentials may end; and noncash promotional benefits may expire according to their disclosed conditions. Amounts lawfully owed for services already provided remain payable. Applicable refunds and nonwaivable rights survive. Termination does not transfer ownership of Customer Data to us or authorize us to retain data for unrelated purposes indefinitely.
Where lawful and technically reasonable, we will provide an opportunity to retrieve Customer Data before deleting it after termination without cause. Keep your own records of material campaign and payment information; the Service is not a guaranteed permanent archive. Data may be retained or deleted as explained in the Privacy Policy, including preservation for legal obligations, security, disputes, and backup cycles. Project-owner deletion can remove shared records and may be irreversible.
You may stop using the Service, cancel subscriptions, and request account deletion. These are separate actions. Sections concerning accrued payment duties, ownership, lawful retention, disclaimers, limitations, indemnities, dispute resolution, and interpretation survive to the extent their purposes require.
11. Confidential information
Each party will use reasonable care to protect the other’s nonpublic information disclosed in connection with the Service and use it only for authorized service, contractual, or legal purposes. We may disclose it to personnel and providers who need it and are subject to suitable obligations, or as legally required. Information lawfully public, independently developed without use of confidential information, or lawfully received without restriction is excluded. Where permitted, we will give notice of compelled disclosure and reasonably limit its scope.
12. Intellectual-property complaints
Send infringement complaints to contact@ugc.run with identification of the protected work, the allegedly infringing material and its location, your contact details, a statement explaining your authority and good-faith concern, and supporting information. We may seek further information, restrict access, or act under an applicable notice-and-takedown process. We may terminate repeat infringers in appropriate circumstances. This contact is not a representation that we have registered a U.S. DMCA agent; any required designated-agent details will be published separately after registration.
13. Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE SERVICE AND THIRD-PARTY DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR ACCURATE OPERATION, OR THAT ALL CONTENT WILL REMAIN AVAILABLE.
We do not provide legal, tax, accounting, investment, employment, or financial advice. Beta, TestFlight, preview, and experimental features may change, contain errors, or be withdrawn. Nothing excludes mandatory guarantees or responsibility that cannot lawfully be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY.
SUBJECT TO THE EXCEPTIONS BELOW, UGC.RUN’S TOTAL LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE FEES YOU PAID TO UGC.RUN FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT FIRST GIVING RISE TO LIABILITY. RELATED CLAIMS DO NOT MULTIPLY THIS CAP.
These limits do not apply to fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury where exclusion is unlawful, or any other liability or remedy that applicable law does not permit us to limit. They do not reduce mandatory refunds, statutory privacy remedies that cannot be restricted, or relief available under section 16 where legally required. A separate negotiated agreement may establish different limits.
15. Business-customer indemnity
If you use the Service on behalf of a business, that business will defend and indemnify UGC.run and its personnel against third-party claims and reasonable resulting costs arising from its unlawful use, its unauthorized content or publishing instructions, or its breach of third-party rights, to the extent caused by that conduct. This does not cover our own breach, negligence, or misconduct. We will promptly notify you, allow reasonable control of the defense, and cooperate at your expense. No settlement may admit liability for us, impose nonmonetary obligations on us, or fail to release us without our consent, not unreasonably withheld. This provision does not impose a general consumer indemnity or override employment protections.
16. Disputes and U.S. arbitration agreement
16.1 Informal resolution
Before filing a covered claim, either party should send a written notice describing the dispute, requested relief, and contact information to the other party. Notices to UGC.run go to contact@ugc.run. We will use the account contact details for notices to you. The parties will attempt resolution for 30 days after receipt. Applicable limitation periods are tolled during this process to the extent permitted by law. This process does not bar urgent relief, small-claims filings, regulatory complaints, or claims that cannot lawfully be delayed.
16.2 Agreement to arbitrate
If you reside in the United States, you and UGC.run agree that disputes between us arising from these Terms or the Service will be decided by a neutral arbitrator rather than a judge or jury, except as stated below or prohibited by law. The Federal Arbitration Act governs this agreement to the extent applicable. The arbitrator may award the individual relief available under applicable law and must issue a reasoned written decision. A court with jurisdiction may enter judgment on the award. Judicial review is limited as provided by law.
16.3 Administrator, procedure, location, and costs
The American Arbitration Association (“AAA”) will administer arbitration under its applicable rules: Consumer Arbitration Rules where applicable and Commercial Arbitration Rules for qualifying business disputes. Applicable mandatory workplace rules govern any dispute legally requiring them; labeling a Creator a business does not avoid those rules. Rules and filing information are available at https://www.adr.org/.
For consumer disputes, the applicable consumer protections and fee limits control, and we will pay amounts those rules or law require a business to pay. We will not use fee allocation to prevent a person from bringing a claim. Hearings may occur remotely by agreement or in a location permitted by the applicable rules that does not impose an unreasonable burden. Statutory rights to attorney fees and costs remain available. Neither side may impose undisclosed procedural hurdles or a private batching requirement that conflicts with governing rules.
If AAA declines to administer for reasons attributable to our failure to comply with its requirements, you may pursue the claim in a court with jurisdiction. If the administrator is otherwise unavailable, the parties may agree on a lawful substitute; absent agreement, either party may ask a competent court to resolve the proper forum. We will not select a replacement unilaterally.
16.4 Exceptions
Either party may bring an eligible individual claim in small-claims court. Either may seek temporary judicial relief to prevent imminent harm while arbitration proceeds. Nothing prevents reports to regulators, participation in agency investigations, legally protected whistleblowing, or relief that applicable law reserves to courts. Claims and remedies that cannot lawfully be subjected to predispute arbitration, including protected categories of workplace disputes, are excluded. Public-injunctive relief is not waived where that waiver is prohibited.
A court, rather than the arbitrator, decides whether an arbitration agreement was formed and whether this arbitration agreement or the class-action waiver is enforceable, except where applicable law requires otherwise.
16.5 Individual proceedings
To the extent lawful, covered disputes must proceed individually, not as a class or representative action. This does not eliminate substantive statutory rights or prevent the administrator from applying lawful case-management procedures. If this waiver is unenforceable for a claim or remedy, only that affected portion proceeds in court; the remainder may proceed in arbitration where lawful. A court determines any appropriate stay. There is no agreement to class arbitration without both parties’ express written consent after the dispute arises.
16.6 Opt-out
You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing contact@ugc.run with the subject “Arbitration opt-out,” your name, the email associated with your account, and a clear statement that you opt out. No notarization, physical mailing, or explanation is required. Opting out does not affect access to the Service or other terms. It does not alter a separate arbitration agreement you previously accepted with another party.
16.7 Changes and non-U.S. users
Changes to this section will not apply retroactively to an existing dispute without agreement. We will provide notice and obtain agreement where required for material changes. For users outside the United States, this section does not impose mandatory predispute arbitration. Mandatory consumer and local jurisdiction protections continue to apply.
17. Governing law and courts
These Terms are subject to applicable law, including the Federal Arbitration Act as described in section 16. Matters not subject to arbitration may be brought before a court with jurisdiction. Nothing in these Terms deprives you of mandatory protections or rights to bring proceedings in a forum available under applicable law.
18. Mobile distribution
Apple is not a party to these Terms and is not responsible for operating or supporting UGC.run. The app license is limited to devices and usage permitted by applicable Apple rules. Apple’s required minimum terms and any applicable store license remain controlling where required. You must also comply with applicable TestFlight terms for beta builds. Availability of a beta build is not a promise of continued access or a public release date. Store-processed purchases, if later offered, will have the disclosures and management controls required by that store.
19. Changes, assignment, and general terms
We may update these Terms. We will identify the effective date, give reasonable notice of material changes, and request renewed acceptance where required. We will not treat a silent change as permission for incompatible retroactive data use or a new arbitration obligation. If you reject changes, you may discontinue use and cancel affected subscriptions, subject to mandatory rights.
You may not transfer your account or this agreement without our written consent, except as permitted in a separate agreement. We may assign it in connection with a merger, reorganization, financing, or asset transfer, subject to applicable law and existing privacy commitments. No failure to enforce a provision waives it. If a provision is unenforceable, the remainder continues where lawful, subject to section 16’s specific rules. Neither party is liable for delay caused by events beyond reasonable control to the extent lawful, but this does not excuse accrued payment obligations or duties that law does not allow to be excused.
Contact contact@ugc.run with questions. Legal notices may be sent to contact@ugc.run. These Terms, applicable purchase terms, and incorporated written agreements state the parties’ agreement concerning the Service.
